Terms and Conditions of Sale

Convenient Business Solutions Inc. ("CBS Europe","us", "we", or "our"), located at 51 Bracken Road, Sandyford, Dublin D18 CV48, Ireland, operates cbseu.com  (the"Website"). The following terms apply to all purchases from our company and supersede any and all purchase terms provided by you or your purchasing company.


Privacy

For information about how we collect, use, share and otherwise process information about you, please see our Privacy Policy . CBS Europe is not a data processor for the customer.


Warranty

The products and services sold by us are provided on an ‘as-is’ basis and without warranties of any kind, either express or implied.


Payment Terms

You acknowledge that payments must be made to us according to the timeframe(s), currencies, and amounts as stated on the invoice provided to you. Our payment terms are Net 30 days (subject to status) or Prepayment as stated on our quotation to you. If you are purchasing without an existing quotation in place, or without having provided us with a purchase order please presume that prepayment is required. 

Invoices should be paid in full by the invoice due date. If payment is not received in full by the due date, interest at the rate of 18% per annum on the overdue balance will be charged, calculated from the due date. Additionally, prepayment may be required on future orders at our discretion.

We reserve the right to change our terms at any time in the event that we have made a mistake.


Order Processing, Shipping, and Delivery

Our prices typically include shipping/delivery fees where applicable unless otherwise stated. Soft key licenses and software renewal codes will be delivered electronically directly to the end-user. No physical items will be shipped.

Once we have received your PO/payment and completed end-user information we aim to process your order within 3 business days. Please allow up to 15 business days for physical delivery. 

For support renewals and leases, full payment for must be received before software authorisation codes are issued. Failure to renew support before the expiry date may result in interruption of technical support service. Delivery of software authorisation codes will be sent electronically to the end-user within 10 business days. 


End-User License Agreement

Software sales are subject to the End User License Agreement of the software originator.

Return Policy

Software products (such as new licenses, maintenance, and upgrades), hardware products (such as key conversions), and Custom Work, are non-refundable. A fully working trial of software can be made available prior to purchase.


Overpayment Policy

When an overpayment has been identified, we will apply the overpayment to your account as a credit. The next time we produce an invoice for you, the credit will be applied to reduce the balance owing. If the credit on your account is greater than the amount owing on your next invoice, the credit difference will continue to be applied to future invoices until it has been reduced to zero.   


Lost, Stolen, or Damaged Software

The software we sell typically includes a protection mechanism in the form of a hardware or software protection key (or dongle) and these are worth the full purchase price of the software. 

If a key is lost or stolen, it will not be replaced without payment of the full purchase price. Please obtain insurance for your software as you would any other business asset of comparable value.

Damaged hardware keys are eligible for replacement for a nominal charge. The damaged key must be returned before a replacement is issued.


Changing Software User Information

If the end-user of the software changes then you must contact us in order to update us with the name and contact details of the new end-user.


Public Training Course Cancellation Policy

Where canceling the purchase of public training courses the following policy applies:

More than 4 weeks before course start date - Full refund

Less than 4 weeks before course start date - No refund

In the event that CBS Europe needs to cancel a public course, a full refund of the course fee will apply but we will not be liable for any costs you may have incurred in preparations to attend the public course.


Private Training Course Cancellation Policy

Where canceling the purchase of private training the customer is liable for all non-refundable expenses incurred by us in the arrangement of the private course.


Jurisdiction

All sales contracts shall be governed by the laws of the Republic of Ireland and any disputes arising shall also be determined by the courts of the Republic of Ireland.


General Liability and Insurance

You agree to maintain insurance adequate to protect your personnel and assets from loss, theft, or damage, and to indemnify and hold us harmless in all cases related to or that arose from your purchase.

EXCLUSION OF CERTAIN DAMAGES. CBS EUROPE IS NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR PURCHASE (INCLUDING, WITHOUT LIMITATION, COSTS OF DELAY, LOSS OF PROFIT, LOSS OF DATA OR INFORMATION, AND ANY FAILURE OF DELIVERY OF THE SERVICES, EVEN IF IT KNOWS OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE). ADDITIONALLY, CBS EUROPE CANNOT BE HELD LIABLE FOR SOFTWARE OR SERVICES PROVIDED TO YOU BY A THIRD PARTY REGARDLESS OF IF IT UTILIZES DATA FOUND, PROVIDED, OR EXTRACTED FROM OUR COMPANY OR WEBSITE.

LIMITATION OF LIABILITY. CBS EUROPE'S LIABILITY FOR ALL DAMAGES ARISING FROM OR RELATED TO YOUR PURCHASE (WHETHER IN CONTRACT, TORT OR OTHERWISE) DOES NOT EXCEED YOUR PURCHASE PRICE OR AMOUNTS PAID BY YOU WITHIN THE PRECEDING 12 MONTHS, WHICHEVER IS LESSER, UNDER THIS AGREEMENT.



Changes to these Terms and Conditions of Sale

These Terms and Conditions of Sale are effective as of ( May 4, 2021  ) and will remain in effect except with respect to any changes in its provisions in the future, which will be in effect immediately after being posted on this page.

We reserve the right to update or change these Terms and Conditions of Sale at any time and you should check these Terms and Conditions of Sale prior to making a purchase. Payment of our invoices and/or continued use of our services constitute your acknowledgment and consent to abide and be bound by these Terms and Conditions of Sale.
